TERMS OF SERVICE AGREEMENT

Introduction

Welcome to RingShield AI, a service powered by Scale Automations, LLC (the “Website,” “Platform,” or “Service”). This Terms of Service Agreement (the "Agreement") is a binding contract between you and Scale Automations, LLC ("Company," "we," "us," or "our"). This Agreement outlines the terms and conditions that govern your access to and use of our Website and related products, services, and technologies, including our AI voice assistant and CRM automations.

1. Acceptance of this Agreement

1.1 Acceptance Through Use

By accessing or using RingShield AI, you agree to be legally bound by this Agreement on behalf of yourself or your organization. If you do not agree, you must discontinue use of the Service immediately.

1.2 Eligibility

To use RingShield AI, you must be at least 18 years of age and not use the Service for competitive analysis or development of competing products.

1.3 Changes to this Agreement

We reserve the right to update these terms at any time. Changes take effect upon posting. Continued use of the Service after changes constitutes acceptance.

2. Access to the Services

2.1 Service Modifications

We may alter, suspend, or discontinue parts or all of the Service at any time without notice.

2.2 Account Registration

Access to certain features may require an account. You agree to provide accurate, current information and maintain the confidentiality of your login credentials. You are responsible for all activities under your account.

2.3 Account Suspension

We may suspend or terminate your access for any violation of this Agreement without prior notice.

3. Prohibited Uses

You agree not to use the Service to:

Send spam or unsolicited communications

Impersonate others or submit false information

Upload viruses, malware, or other harmful code

Interfere with the functionality of the platform

Access or reverse-engineer our technology

Scrape data or bypass security mechanisms

Infringe upon our intellectual property

4. SMS/Text Messaging Terms (A2P Compliance)

4.1 SMS Usage

We may send you SMS messages for appointment confirmations, notifications, reminders, and promotional offers related to RingShield AI and CRM services offered by Scale Automations, LLC. Message frequency may vary.

4.2 Opting Out

You may opt out at any time by texting “STOP.” A confirmation message will be sent.

4.3 Help & Support

For help, reply with “HELP” or email [email protected].

4.4 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

4.5 Message & Data Rates

Standard message and data rates may apply depending on your carrier plan.

4.6 Data Sharing

We do not share SMS data with third parties, except those essential to message delivery (e.g., Twilio, Retell AI).

5. Subscription & Payments

5.1 Paid Services

Some features of RingShield AI require paid subscriptions. You agree to pay applicable fees.

5.2 Payment Processing

All payments are processed via trusted third-party providers (e.g., Stripe, PayPal). We do not store your payment credentials.

5.3 Auto-Renewal

Subscriptions renew automatically unless canceled before the billing cycle ends.

5.4 Refund Policy

All purchases are final and non-refundable unless otherwise stated at the time of purchase.

6. AI Hosting & Third-Party Integrations

RingShield AI uses the following third-party services:

Retell AI – for hosting our AI-powered voice assistant and call routing systems

Make.com – for connecting RingShield AI to CRM and automation workflows

GoHighLevel – as our CRM foundation and automation platform

By using our service, you also agree to the respective terms of these providers. We are not liable for outages, service interruptions, or data losses caused by these third-party systems.

7. Intellectual Property

All software, content, branding, and technology associated with RingShield AI is the exclusive property of Scale Automations, LLC or its licensors. You may not copy, redistribute, or create derivative works without prior written permission.

8. Limitation of Liability

To the fullest extent permitted by law, we disclaim liability for:

Indirect, incidental, special, or consequential damages

Data loss or service interruptions

Errors from third-party platforms or AI inaccuracies

Our total liability under this Agreement shall not exceed $100 or the amount you paid in the past six months, whichever is greater.

9. Dispute Resolution & Arbitration

9.1 Governing Law

This Agreement shall be governed by the laws of the State of Wyoming, without regard to conflict of law rules.

9.2 Binding Arbitration

Any disputes shall be resolved by final and binding arbitration through the American Arbitration Association (AAA), to be held in Cheyenne, Wyoming. You waive the right to jury trials and class actions.

9.3 Statute of Limitations

Any legal claim must be filed within one (1) year of the event giving rise to the claim, or it will be permanently barred.

10. Termination

We may terminate this Agreement and your access to the Services at any time, with or without notice. Sections regarding intellectual property, payment obligations, dispute resolution, and limitation of liability shall survive termination.
